Terms of sale

1. Who these terms apply to

These terms of sale apply to every quote, order and sale made by GS Trading LLC, a Florida limited liability company based in Miami, Florida, doing business as TekFeed (“TekFeed”, “we”, “us”), to a business customer (“you”). TekFeed was formerly known as Nektova. TekFeed sells to businesses only — retailers, wholesalers, exporters and institutional buyers. We do not sell to consumers.

If you have signed a separate account or supply agreement with us, that agreement takes precedence wherever it differs from these terms. Terms printed on your purchase orders do not apply unless we agree to them in writing.

2. Your account

You need an approved TekFeed account to buy. Before approving an account, and at any time afterwards, we verify the company and the people who own and control it, and screen them against sanctions and restricted-party lists. We may decline, suspend or close an account where verification is incomplete, where information turns out to be inaccurate, or where the law requires it.

You are responsible for keeping your sign-in details secure and for every order placed through your account.

3. Quotes, pricing and orders

• Prices are confidential to your account, quoted in US dollars unless stated otherwise, and exclude taxes, duties, freight and insurance.
• Quotes are valid for the period stated on them, or until stock is sold if no period is stated. Inventory is offered subject to availability.
• An order becomes binding only when we confirm it. We may decline or partly fill an order — for example because of stock, credit or compliance reasons — and will tell you if we do.
• We correct obvious pricing or listing errors, even after confirmation.

4. Payment and credit

• Payment is due in advance unless your account has approved credit terms, in which case it is due by the date on the invoice.
• Overdue amounts may accrue interest at 1.5% per month, or the highest rate the law allows if lower, and we may hold or cancel open orders until the account is current.
• Credit limits are set at our discretion and may be changed or withdrawn at any time.
• Payments must come from your company or a payer we have approved in advance. We do not accept payments from unverified third parties.

5. Shipping, title and risk

• Goods ship from our warehouse, or an agreed facility, by carton, pallet, container or single unit. Shipping dates are estimates, not guarantees.
• Unless agreed otherwise in writing, risk of loss passes to you when the goods are handed to the carrier. Title passes when we have received payment in full.
• If you arrange your own carrier or freight forwarder, you are responsible for that carrier and for the shipment once it is collected.

6. Inspection, shortages and damage

Inspect each delivery when it arrives. Note visible damage on the delivery receipt, and report any shortage, damage or wrong item to us in writing within 5 business days of delivery, with photos and the order number. Goods not reported within that period are treated as accepted.

7. Returns

• Returns need a return authorization (RMA) from us before anything is sent back. Goods returned without one may be refused.
• We accept returns of defective (dead-on-arrival) or incorrectly shipped goods reported within the period in section 6. We replace, repair or credit them, at our option.
• Non-defective goods are returnable only if we agree in writing. They must be unopened and resaleable, and a restocking fee may apply.

8. Warranty

TekFeed is an independent distributor. Products carry whatever warranty their manufacturer provides, and coverage can vary by product and by region. Ask us before ordering if warranty coverage in a particular market matters to you. Apart from the return rights in section 7, and to the extent the law allows, we give no other warranties, express or implied, including of merchantability or fitness for a particular purpose.

9. Export control and sanctions

You agree to comply with all export control, sanctions and customs laws that apply to the goods, including those of the United States. You will not sell, export or re-export goods bought from us to any sanctioned country, region or person, or for any prohibited end use. You will give us accurate end-destination and end-user information when we ask for it. We may cancel any order we reasonably believe would breach these laws.

10. Taxes and resale

You are responsible for sales, use, import and other taxes and duties on your purchases unless you give us a valid resale or exemption certificate. You are responsible for complying with the laws that apply to your resale of the goods.

11. Limitation of liability

To the extent the law allows, our total liability for any order is limited to the price you paid for the goods in that order. We are not liable for lost profits, lost business or indirect or consequential losses.

12. Events beyond our control

We are not responsible for delays or failures caused by events beyond our reasonable control, including carrier or customs delays, supplier shortages, natural disasters, labor disputes and government action.

13. Trademarks

Brand names and trademarks shown on our site belong to their owners. Their use identifies the products we sell and does not mean the brand owner endorses or is affiliated with TekFeed unless we say so.

14. Governing law and changes

These terms are governed by the laws of the State of Florida, United States. Disputes are handled by the state and federal courts located in Miami-Dade County, Florida. We may update these terms from time to time. The version in force when we confirm your order applies to that order.
